Scientista Foundation Chapter Agreement
The Scientista Foundation, Inc.
is a national non-profit established to advance the interests of women studying in STEMM fields, through the Scientista Website and the creation and support of university chapters and conferences.
The Scientista Foundation grants the following license, and the benefits of membership within the Scientista Foundation network, in consideration for The Scientista Foundation Chapter at the university you specify below (“the Chapter” or “your Scientista Chapter”) agreement to the following terms.

RESPONSIBILITY OF CHAPTER
– The Chapter acknowledges that it has already created its Chapter constitution conforming in all material parts to the sample constitution provided by Scientista. The Chapter affirms it has provided this Chapter constitution to Scientista, and will abide by the Chapter constitution in all matters to which the constitution applies.
Compliance with Scientista Chapter Starter Manual
– The Chapter agrees to meet the requirements set out in the Scientista Chapter Starter Manual, including but not limited to selecting and notifying a faculty advisor, establishing and abiding by the Chapter’s bylaws, recruiting other potential Scientistas, and engaging with the Scientista National Network during periodic events and conferences.
Compliance with Scientista Bylaws
– The Chapter will adhere to all bylaws set forth by Scientista. Scientista may modify, amend, supplement and/or replace their bylaws at any time.
Compliance with College Policies
– Events and activities undertaken by the Chapter will adhere to all rules, regulations, and policies of [NAME OF UNIVERSITY] at all times.
Compliance with Laws
– Events and activities undertaken by the Chapter will adhere to all local, state, and federal laws at all times.
With the acceptance of this license, The Scientista Foundation (“Scientista”) will grant you a limited, non-exclusive, revocable license (the "License") to use the Scientista Foundation name, logo, trademarks, service marks, and materials made available through Scientista and Scientista’s website. Your use of the Intellectual Property must comply with the rules set forth in this License. The term of this License will begin upon your acceptance of these terms by signing below and will end upon the earlier of (i) Scientista’s termination of your License at any time if you should breach any of the terms of this License or termination by Scientista for any other reason, in Scientista’s sole discretion or (ii) the conclusion of the Chapter. The Intellectual Property may only be used to promote your Scientista Chapter and events, and in no case shall you use the Intellectual Property, or the Scientista name, logo, trademarks or service marks for any private or commercial purpose (including, but not limited to, the sale of books, articles, publications, audio recordings, videos or other media) without the written consent of Scientista. This prohibition shall survive the termination of the License. All promotion of your Scientista Chapter or Scientista events must clearly identify the Chapter or event as a Scientista Chapter or event. You may not transfer, sublicense or assign the License and/or your rights to use the Intellectual Property. Scientista may require you to stop using the Intellectual Property in connection with your Scientista Chapter at any time. If the Chapter does not use the Scientista trademarks or service marks in accordance with the terms above, your License may be terminated. Scientista may modify, amend, supplement and/or replace the terms and conditions of this License in writing at any time.
WAIVER OF LIABILITY
You will be responsible for all resources, equipment, staff, lodging, food, or other materials necessary or required for your Scientista Chapter meetings and events. The Scientista Foundation will not be responsible or liable for providing you with any resources, personnel or materials other than any online resources made available on the Scientista website.
YOU AGREE TO ASSUME FULL RESPONSIBILITY FOR ANY AND ALL INJURIES OR DAMAGES YOU MAY SUSTAIN OR CAUSE OTHERS TO SUSTAIN IN CONNECTION WITH ANY SCIENTISTA EVENT, AND TO INDEMNIFY, DEFEND AND HOLD HARMLESS SCIENTISTA AND ITS OFFICERS, DIRECTORS, SPONSORS, PARTNERS, EMPLOYEES, VOLUNTEERS, AFFILIATES, LICENSORS, AND SUPPLIERS FROM AND AGAINST ANY LIABILITY ARISING FROM SUCH INJURIES AND/OR DAMAGES.
FORUM AND CHOICE OF LAW
The terms of this License Agreement and the rights, obligations and performance of the Parties hereunder shall be governed by the laws of the State of New York, without regard to conflict of laws principles. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration conducted in New York, NY, which shall be governed by the Commercial Arbitration Rules of the American Arbitration Association. Judgment upon the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction.
You agree that the terms of this License are the entire agreement between you and Scientista, and supersede all communications of any kind between you and Scientista with respect to the License and any guidelines, rules or policies incorporated in this License.
